Terms of Service

These Terms set forth the conditions of use for "Kanae," the AI sales support service, and other services (collectively, the "Service") provided by CosmoSketch Inc. (the "Company"). The actual terms of any engagement are governed first by the individual contract and proposal documents separately concluded between the parties.

Article 1 (Application)

These Terms apply to all relationships between the Company and the user concerning the use of the Service. In the event of any discrepancy between an individual contract and these Terms, the provisions of the individual contract shall prevail.

Article 2 (Service Description)

The Service is a continuously provided (Managed SaaS) service that, through AI and the Company's operational support, assists with prospect research, list creation, message drafting, sending via email or inquiry forms, organizing replies, improvement reports, and the like. Important transmissions are operated on the premise of human review (pre-send approval).

Article 3 (No Guarantee of Results)

The Service is intended to increase the volume of sales activity and the speed of improvement; it does not guarantee revenue, the generation of business opportunities, or any specific results. Any performance figures or numbers displayed are reference values under specific conditions, and results vary depending on the target industry, product or service, sending conditions, and similar factors.

Article 4 (User Obligations)

That the user holds the rights necessary to provide and use the data supplied to the Company (including prospect information) and has obtained such data lawfully.
That the user agrees to an operating policy that respects applicable laws and regulations and the wishes of recipients (such as "no solicitation" notices) with respect to sending targets, message content, frequency, and the like.
That the user will promptly update its registered information whenever any change occurs.

Article 5 (Prohibited Conduct)

Acts that violate laws, regulations, or public order and morals, or that infringe the rights of third parties
Instructing the Company to engage in indiscriminate or mass sending, or use in a manner that interferes with the operations of recipients
Reproducing, analyzing, or re-providing the Company's technology or know-how obtained through the Service

Article 6 (Legal Compliance)

The Company operates the Service in accordance with the Act on Regulation of Transmission of Specified Electronic Mail, the Act on the Protection of Personal Information, and other applicable laws and regulations, as well as the national guidelines for AI businesses. The Company provides clear identification of sender information, responds to opt-out (unsubscribe) requests, and carefully vets sending targets.

Article 7 (Fees and Payment)

Fees, initial costs, monthly costs, the scope of provision such as the number of transmissions, and similar matters are set forth in the individual contract or proposal. Payment methods and payment timing are governed by the individual contract.

Article 8 (Data and Intellectual Property)

Data provided by the customer and the deliverables derived therefrom (lists, replies, reports, and the like) belong to the customer. Intellectual property constituting the Service, such as the Company's software, prompts, and operational know-how, belongs to the Company, and source code and similar materials are not provided.

Article 9 (Confidentiality)

The Company and the user shall not use the other party's confidential information learned in connection with the Service for any purpose other than its intended purpose, nor disclose it to third parties.

Article 10 (Disclaimer and Limitation of Liability)

AI-generated output may contain errors, and the Company does not guarantee its completeness or accuracy. Except in cases of the Company's willful misconduct or gross negligence, the Company's liability is limited to the scope set forth in the individual contract.

Article 11 (Termination for Convenience and Return of Data)

Termination conditions are set forth in the individual contract. Upon the end of the contract, the Company will, in accordance with the contract, support the export, return, and deletion of customer data.

Article 12 (Amendment of These Terms)

The Company may amend these Terms as necessary. Material changes will be announced on this site.

Article 13 (Governing Law and Jurisdiction)

These Terms are governed by the laws of Japan, and in the event of any dispute concerning the Service, the Kyoto District Court shall be the court of exclusive jurisdiction for the first instance.
